Eligible Investors
You are eligible to purchase and own units of the Kiewit Investment Fund LLLP ("the Fund") if you are: - A current or former participant in the Peter Kiewit Sons', Inc. ("Kiewit") Employee Ownership Plan
- A current or former holder of Kiewit's common stock
- A director of Kiewit
- A director of the Fund
- An immediate family member of the "Eligible Employees/Directors" noted above. (Persons who qualify as "immediate family members" are listed below and include step and adoptive relationships regardless of whether such individuals reside with or are dependents of the Eligible Employee/Director.)
- Current spouse
- Children and current spouses of children
- Parents and current spouses of parents
- Siblings
- Grandchildren
In addition, certain qualified investment vehicles are now eligible to purchase and own Fund units: - Trusts where the trustees and/or grantors must be Eligible Employees/Directors OR the vehicle must be established solely for the benefit of eligible investors. Beneficiaries must be eligible investors at all times.
- Family partnerships or corporations where at least a majority of the voting power is controlled by Eligible Employees/Directors who will exercise investment discretion and control over the investment vehicle.
Please note that Canadian investors must satisfy the requirements of the Fund as described above. In addition, securities law in Canada limits the sale of units to persons that fall within the category of "Accredited Investors" under securities law, except in cases in which a prescribed minimum value of units are purchased. Please refer to the Fund's prospectus for more information regarding eligibility to invest in the Fund. |
